Charity Platform Agreement

This Charity Platform Agreement (this “Agreement”) is entered into between Jubily Global LLC, a Texas limited liability company (“Jubily,” “we,” “us”), and the 501(c)(3) public charity submitting an application through jubily.org (the “Charity,” “you”). It governs the Charity’s use of the Jubily charitable fundraising platform (the “Platform”). This Agreement takes effect when an authorized representative of the Charity submits an application with the “I agree” checkbox ticked.
This Agreement is in addition to, and incorporates by reference, our Terms of Service and Privacy Policy.
1. Charity Representations
The Charity represents and warrants that:
- It is a U.S. tax-exempt organization in good standing, described in Section 501(c)(3) of the Internal Revenue Code, and contributions to it are deductible under Section 170(c).
- It is not currently revoked, suspended, or under any investigation, enforcement action, or restriction that would impair its ability to receive charitable contributions.
- The individual accepting this Agreement on the Charity’s behalf is at least 18 years old and is authorized by the Charity to do so.
- No principal of the Charity is named on the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC) Specially Designated Nationals (SDN) list or any other U.S. or international sanctions list.
- All information provided in the application (mission, programs, contacts, EIN, determination letter, fundraising goals) is true, complete, and not misleading.
2. Charity Authorizations
The Charity hereby authorizes Jubily to:
- Display the Charity’s name, logo, mission, programs, impact story, contact information, and other information submitted in the application on a public profile page and in related Platform surfaces (search, cause directories, home page ticker, leaderboards, badges).
- Solicit charitable contributions from members of the public on the Charity’s behalf through the Platform.
- Facilitate the routing of donations to the Charity via a Stripe Connect Express account that the Charity creates and controls, on the fee terms described in Section 4.
- Send the Charity emails relating to its account, donation activity, Stripe onboarding, compliance updates, and Platform improvements. The Charity may opt out of non-essential email at any time.
- Verify the Charity’s 501(c)(3) status and ongoing good standing on a periodic basis using IRS data sources, ProPublica Nonprofit Explorer, and other third-party charity registries.
3. Donation Flow and Custody of Funds
For donations under $10,000, donor payments route directly to the Charity’s Stripe Connect account at the time of payment. Jubily does not take custody of those funds.
For donations of $10,000 or more, payments are temporarily held on Jubily’s Stripe platform balance for up to 7 days for fraud review and are then transferred to the Charity (or, in the rare cases where fraud is confirmed, refunded to the donor) at Jubily’s reasonable discretion.
In all cases, the Charity is the legal recipient of every completed donation and is solely responsible for issuing the donor’s tax-deductible receipt. Jubily does not issue charitable tax receipts.
4. Fees
Jubily charges a 2% platform fee on each donation. Stripe charges its standard processing fee (currently 2.9% + 30¢ for cards and 0.8% capped at $5.00 for ACH). Donors are offered an option (default on) to cover these fees so that 98–100% of every gift reaches the Charity net. When the donor declines to cover fees, the fees are deducted from the transferred amount.
Jubily may change its platform fee with at least 30 days’ prior notice to the Charity by email. Stripe processing fees are governed by the Charity’s Stripe agreement and are not controlled by Jubily.
5. Charity Data and Privacy
Jubily processes personal information about the Charity’s donors solely to facilitate the donation flow and provide the Platform features described above. Donor information shared with the Charity (name, email, donation amount, optional message) is provided so the Charity can issue receipts and steward the relationship. The Charity agrees to handle donor information in accordance with applicable privacy laws and not to sell, rent, or share that information outside its own fundraising and stewardship use.
6. Term and Termination
This Agreement begins when the application is submitted and continues until terminated by either party. Either party may terminate this Agreement for any reason at any time by giving notice to the other party (the Charity may do so by emailing givejubily@gmail.com from a verified contact email on file). On termination, Jubily will remove the Charity’s public profile within 30 days. Any donations already initiated will complete according to their normal flow.
Jubily may suspend or remove a Charity at any time without prior notice if it reasonably believes the Charity has lost 501(c)(3) status, is in violation of this Agreement, has provided false or misleading information, or has been flagged on a sanctions or restricted-party list.
7. Disclaimers and Limitation of Liability
The Platform is provided on an “as is” and “as available” basis. Jubily makes no guarantee that any particular volume of donations will be raised, that the Platform will be uninterrupted or error-free, or that any specific marketing outcome will occur. Jubily is not a co-fundraiser or commercial co-venturer of the Charity.
To the maximum extent permitted by law, Jubily’s total liability to the Charity arising out of or related to this Agreement will not exceed the platform fees paid by donors to Jubily on the Charity’s behalf during the 12 months preceding the claim. Jubily is not liable for indirect, incidental, consequential, or punitive damages.
8. Indemnification
The Charity will indemnify and hold harmless Jubily, its officers, employees, and contractors from any claims, losses, or damages arising out of (a) the Charity’s breach of its representations in Section 1, (b) the Charity’s issuance (or failure to issue) tax receipts to donors, or (c) any allegation that the Charity is not a valid 501(c)(3) or has misused charitable funds.
9. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Texas, without regard to its conflicts-of-law principles. Any dispute arising under this Agreement that the parties cannot resolve in good faith will be brought exclusively in the state or federal courts located in Harris County, Texas.
10. Changes to this Agreement
We may update this Agreement from time to time. If we make a material change, we will notify the Charity by email at least 30 days before the change takes effect. The version of the Agreement the Charity originally accepted is identified by the version number at the top of this page and is recorded against the Charity’s application row in our system.
11. Entire Agreement; Severability
This Agreement, together with our Terms of Service and Privacy Policy, is the entire agreement between Jubily and the Charity concerning the Platform and supersedes any prior understandings. If any provision is held unenforceable, the remaining provisions will continue in full force.
